All services are provided as described in the mutually agreed-upon proposal, contract, or course registration details.

2.1. Website Content
The website content, including text, graphics, logos, images, as well as the compilation thereof, and any software used on the Site, is the property of Tyde Consulting INC. and protected by copyright and other laws.
2.2. Consulting and Training Materials
All materials, documents, presentations, templates, and content provided to clients during consulting engagements or training programs (“Materials”) remain the exclusive intellectual property of Tyde Consulting INC.
License to Use: Clients are granted a limited, non-transferable, non-exclusive license to use the Materials solely for their internal business purposes as outlined in the service agreement.
Prohibited Use: You may not reproduce, redistribute, sell, modify, or create derivative works from the Materials without our express written permission.
3. Client Responsibilities
You agree to:
- Provide timely, accurate, and complete information and access to relevant resources required for Tyde Consulting INC. to perform its services
- Adhere to the payment schedule and terms outlined in the specific service agreement or invoice.
- Ensure that any employees or representatives participating in training programs comply with these Terms and any specific course rules.
4. Limitation of Liability
Tyde Consulting INC. provides its services on an “as is” and “as available” basis. While we strive to provide the highest quality service, we make no guarantees regarding the ultimate success, outcome, or specific financial benefit resulting from the use of our consulting or training services.
To the fullest extent permitted by applicable law, in no event shall Tyde Consulting INC. or its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Service;
- Any conduct or content of any third party on the Service;
- Any advice or information obtained from the Service.
5. Termination
We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
6. Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of that Province.
7. Indemnification
You agree to defend, indemnify, and hold harmless Tyde Consulting INC. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.
8. Changes to Terms and Conditions
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
